You agree to indemnify, defend, and hold harmless Zu5.net and its affiliate and related companies, distributors, distributees, suppliers, merchant business associates, advertiers, third party developers or distributors, or any of the foregoing entities officers, directors, employees, or agents (collectively "Protected Parties") from any and all liability, penalties, losses, damages, costs, expenses, attorneys' fees, causes of action or claims caused by or resulting directly and/or indirectly from your use of Zu5.net which damages either you, Zu5.net, or any other party or parties without limitation or exception.
Zu5.net makes no warranties or representations of any kind for the services being offered. Zu5.net is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. No advice or information given by Zu5.net or its agents or employees shall create a warranty. In no event will Protected Parties be liable for any consequential, incidental, or direct damages suffered in the course of using Zu5.net.
Zu5.net provides no warranty that the service will be uninterrupted or error free. We assume no liability, expressed or implied, for any downtime for any reason. Zu5.net is not responsible for files and data residing on your account. You agree to take full responsibility for files and data transferred and to maintain all appropriate backup of files and data stored on our servers.
Zu5.net reserves the right to refuse or discontinue service to anyone for any reason at our sole discretion, and to refuse to post or to remove any information or materials, in whole or in part, that, in our sole discretion, are unacceptable, undesirable, or in violation of this agreement.
Zu5.net reserves the right to monitor any and all communications through or with our facilities. You agree that Zu5.net is not considered a "secure communications medium" for the purposes of the ECPA, and that no expectation of privacy is afforded.
Zu5.net reserves the right to disclose information about you and your account as required by law, in the good faith belief that disclosure is necessary to further determination of an alleged breach of a law, to comply with a legal process served upon us, to resolve any and all third party claims, or to avoid financial loss or legal liability. Certain account information is available on our public WHOIS server.
Zu5.net reserves the right to send you advertisements and promotional offers. You agree that Zu5.net may provide your contact information to its marketing partners for the purpose of sending you advertisements and promotional offers.
Zu5.net retains exclusive ownership of and rights to the Zu5.net trademark and domain name, including all subdomains, and the services and content provided therein. Zu5.net accounts and services may not be resold.
You assume total responsibility and risk for your use of Zu5.net and the Internet. It is solely your responsibility to evaluate the accuracy, completeness, and usefulness of all opinions, advice, services and other information, and the quality and merchantability of all merchandise provided through Zu5.net.
You agree that you as the person legally responsible for your account are at least 18 years of age or have your parent's or legal guardian's permission before using our service. You agree to provide valid contact information as requested and to keep this information current. You agree to adhere to our policies and to abide by any and all future Zu5.net decisions.
In the event that you, or a third party acting on your behalf, violate any of the terms and conditions in this agreement, you agree to pay Zu5.net $500.00 USD, or Zu5.net's actual damages, whichever is greater.
All payments are non-refundable and non-transferable. You agree to forefeit all payments applied to your account if it is removed or terminated for any reason. If any payment is reversed, you agree to resubmit the payment and reimburse Zu5.net for all fees incurred. You are responsible for the cost of collections, interest, legal fees, and penalties on any unpaid balances.
You must log into your account every 90 days to prevent it from expiring.
Except as otherwise provided in this agreement, you agree that Zu5.net may revise the terms and conditions of this agreement and/or change part of the services provided under this agreement at any time. You agree to periodically review our web site, including the current version of this agreement available on our web site, to be aware of any such revisions.
This agreement supersedes any written, electronic, or oral communication you may have had with Zu5.net or any agent or representative thereof, and constitutes the complete and total agreement between the parties.
If any provision of this agreement is determined to be invalid or unenforceable, all other provisions shall remain in full force and effect and said provision shall be reformed only to the extent necessary to make it enforceable.
Zu5.net, although advertised as a "no ads" service, reserves the right to put up ads on user sites at any time for any reason.
Zu5.net reserves the right to change this agreement at any time in any way without notice.
